AstapovLawyers International Law Group has advised Grunenthal GmbH, a major European producer of pharmaceuticals, in the acquisition of Grunenthal by STADA AG. Total deal value of the parties involved amounted around the EUR152 mln.

STADA started negotiating with Grunenthal last spring for the purchase of a branded product portfolio including the associated sales structures for numerous national markets in Central and Eastern Europe as well as in the Middle East.

AstapovLawyers has acted as a Ukrainian counsel of German based Grunenthal GmbH and advised Grunenthal GmbH on various domestic legal and regulatory matters with respect to the acquisition of Grunenthal’s subsidiary in Ukraine to STADA.

Along with the purchase of licenses for products within the contract area, STADA acquired all rights to the marketing of these drugs in countries where they have not yet been submitted.

Today analgesia is Grünenthal’s main area of expertise, with the emphasis on moderate to severe pain. The company also manufactures and distributes contraceptives, respiratory tract medicines, CNS and dermatological preparations in a number of countries.
